Role of the Platform & Marketplace Model
Merchant autonomy and direct consumer contractual relationship
Zaydak is a Software-as-a-Service (SaaS) provider supplying digital store infrastructure, conversational engines, and logistics bridges.
Zaydak is not the seller of goods displayed in merchant stores. The commercial contract of sale, product warranty, and return obligations exist exclusively and directly between the merchant and the end consumer.
- Merchants bear exclusive responsibility for pricing accuracy, inventory availability, shipping fulfillment, and clear refund policies.
- Merchants must provide professional customer support in accordance with Saudi Ministry of Commerce guidelines.
Subscription Plans, Fees & Billing
Predictable pricing, automated cycles, and clear terms
Zaydak offers flexible subscription tiers (monthly or annual) providing defined allocations of products, multi-channel bots, and storage, alongside any agreed-upon add-on fees.
- Payment Processing: Subscription fees are billed in advance in Saudi Riyals (SAR) or accepted regional currencies via secure online gateways.
- Automated Renewals: Subscriptions renew automatically at the conclusion of each billing period unless cancelled through the merchant dashboard prior to renewal.
- Refund Terms: Subscription fees are non-refundable once the billing cycle begins and platform compute resources are provisioned.
Acceptable Use of Conversational AI & Channels
Operational etiquette for WhatsApp, Instagram, and Telegram
Zaydak provides conversational commerce automation powered by advanced bots. Merchants must follow strict operational boundaries:
- Anti-Spam Regulations: Automated broadcast spamming or unsolicited mass marketing without prior customer consent is strictly forbidden.
- Channel Partner Rules: Merchants must honor third-party channel policies, including Meta’s WhatsApp Business Policy and Instagram Community Standards.
- System Integrity: Reverse engineering, bot circumvention, prompt injection, or attempting to compromise platform safety layers is strictly prohibited.
Intellectual Property Rights
Protecting platform assets while respecting merchant content
Zaydak Platform IP: All source code, design systems, visual identities, trademarks, and AI orchestration engines remain the exclusive intellectual property of Zaydak.
Merchant Brand IP: Merchants retain 100% ownership of their brand assets, logos, and uploaded product photography. Merchants grant Zaydak a limited, non-exclusive license solely to host and display this content to deliver store services.
Disclaimers & Limitation of Liability
Engineering diligence and statutory liability boundaries
We implement rigorous engineering practices to maintain high platform availability. However, services are offered "as is" and "as available", without warranties against unforeseen third-party telecommunication disruptions or upstream gateway outages.
To the fullest extent permitted by Saudi law, Zaydak shall not be liable for any indirect, consequential, or punitive damages, lost revenues, or consumer disputes.
In all cases, Zaydak’s total aggregate financial liability toward any merchant shall not exceed the total fees paid by the merchant to Zaydak in the three (3) months preceding the claim.
